1. Acceptance of Terms

Your access to and use of the website https://legup.in/ (the “Platform”), owned
and operated by Legup (“Company”, “we”, “us”, “our”), is subject to these Terms
and Conditions.

By accessing, browsing, registering on, or using the Platform in any manner, you
expressly acknowledge that:

You have read and understood these Terms;
You agree to be legally bound by them; and
You enter into a binding agreement with the Company.

If you do not agree with any part of these Terms, you must immediately discontinue
use of the Platform.

2. Amendments to Terms

The Company reserves the right to modify, update, or amend these Terms at any
time, at its sole discretion.

Any changes shall become effective immediately upon posting on the Platform.

Continued use of the Platform after such changes constitutes your acceptance of
the revised Terms.

It is your responsibility to review the Terms periodically.

3. Definitions

For the purposes of these Terms:
“Platform” means the website and related services operated by the Company.
“Customer” means any individual seeking caregiver services.

“Caregiver” means nanny, japa nanny, babysitter, domestic help, or similar service
provider registered on the Platform.

“Service Facilitation Fee” means the fee charged by the Company for sourcing,
screening, coordination, and replacement support.

“Service Period” means the validity duration of the selected plan (1, 3, 6, or 12
months, as applicable).

4. Nature of Services

4.1 The Company acts solely as a facilitator and intermediary connecting
Customers with independent Caregivers.

4.2 The Company does not employ, supervise, control, or manage Caregivers.

4.3 Any employment relationship, salary negotiation, working conditions,
Supervision, or termination, is strictly between the Customer and the Caregiver.

4.4 The Company does not guarantee:
Continuous availability of Caregivers
Behavior or conduct of Caregivers
Long-term service continuity

5. User Eligibility

By using the Platform, you represent that:
You are at least 18 years of age.
You are legally competent to enter into binding contracts under Indian law.

All information provided is accurate and truthful.

6. User Obligations

6.1 Customers agree to:
Provide accurate job requirements.
Conduct interviews before finalizing a Caregiver.
Pay the agreed salary directly to the Caregiver.
Provide a safe and respectful working environment.
Comply with applicable labour and employment laws.

6.2 Caregivers agree to:
Provide truthful information and valid documents.
Perform duties professionally.
Inform both the Customer and Company in case of service discontinuation.

7. Payment Terms

7.1 The Service Charges must be paid in advance.

7.2 Salary is payable directly by the Customer to the Caregiver.

7.3 The Service Charge is separate from salary payments.

7.4 The Company does not guarantee refunds except as per the Refund Policy.

8. Replacement Policy

8.1 Replacement requests must be raised within the Service Period.

8.2 The Company shall use reasonable efforts to provide a replacement within 3–5
working days, subject to availability.

8.3 Replacement support is valid only during the active plan period.

8.4 Replacement timelines may vary based on:
Location
Salary offered
Specific requirements
Market availability

9. Limitation of Liability

9.1 The Company shall not be liable for:
Misconduct, negligence, or criminal acts of Caregivers
Theft, property damage, injury, or loss
Salary disputes
Personal conflicts
Indirect or consequential damages

9.2 The Company’s maximum liability, if any, shall not exceed the Service
Facilitation Fee paid by the Customer.

10. No Employer Relationship

Nothing in these Terms shall be construed as creating:
Employer–employee relationship
Partnership
Joint venture
Agency

The Company is strictly a facilitator.

11. Indemnification

Users agree to indemnify and hold harmless the Company from any claims, losses,
damages, or legal proceedings arising out of:

Breach of these Terms
Disputes between Customer and Caregiver
Misconduct or negligence

12. Refund & Cancellation

Refunds shall be governed strictly as per the published Refund Policy.

The Service Facilitation Fee is charged for sourcing, screening, and coordination
services, and may not be refundable after services have commenced.

13. Misrepresentation & Sales Clarification

13.1 Any representations made by sales personnel that are inconsistent with these
Terms shall not be binding unless confirmed in writing by authorized management.

13.2 The Platform and written policies shall prevail in case of conflict.

14. Data Protection

Use of the Platform is also governed by the Privacy Policy.

Users consent to the collection and processing of data as described therein.

15. Suspension & Termination

The Company reserves the right to suspend or terminate access if:
False information is provided
Abusive or unlawful conduct occurs
Payment obligations are violated

16. Force Majeure

The Company shall not be liable for failure or delay caused by:
Natural disasters
Government restrictions
Pandemic
Strikes
Events beyond reasonable control

17. Intellectual Property

All content on the Platform, including:
Text
Logos
Branding
Layout
is the property of the Company and may not be copied or reproduced without
written permission.

18. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
Courts located in Bengaluru, Hyderabad & Delhi shall have exclusive jurisdiction.

19. Electronic Acceptance

Use of the Platform constitutes electronic acceptance of these Terms under the
Information Technology Act, 2000, and shall have the same legal effect as a written
signature.
